Morgan O’Brien, Executive Chairman

Morgan O’Brien has served as our Executive Chairman of the Board since July 2020 and has been a member of our Board since April 2012. From May 2014 to April 2018, he served as Vice Chairman; and from April 2018 to June 2020, he led Anterix as our Chief Executive Officer.

Since 2009, Mr. O’Brien has served as an independent consultant to several wireless start-ups. As a co-founder and chairman of Nextel, Mr. O’Brien led the creation of the first all-digital nationwide wireless network (the Nextel National Network) and brought push-to-talk (“PTT”) communication to the mass business and consumer markets. After the merger of Nextel with Sprint Corporation in 2004, he was a co-founder of Cyren Call Communications Corporation, where he served until January 2009.

In 2016, Mr. O’Brien was awarded the Armstrong Medal, the highest award of the Radio Club of America, for demonstrated excellence and lasting contributions to radio arts and sciences. He was recognized in 1987 as New Jersey Entrepreneur of the Year and was voted the RCR Person of the Year in 1993 and again in 2006. In 2005, he was inducted into the Washington, D.C., Business Hall of Fame. In 2007, he was named a Fellow of the Radio Club of America and was named “one of the top U.S. wireless innovators of all time,” by Fierce Wireless.

He has served on a number of boards of other public companies, including Sprint, Williams Telecommunications and GTT Communications, Inc. He also serves on the board of several private companies and charitable organizations. Mr. O’Brien is a graduate of Georgetown University and earned his law degree from Northwestern University.

Tom Kuhn, Vice Chairman

Mr. Kuhn joined our Board in January 2024 as Vice Chairman after more than thirty years as President and CEO of the Edison Electric Institute (EEI), the trade association representing U.S. investor-owned electric utilities. Prior to his role as President & CEO, Mr. Kuhn served as Chief Operating Officer of EEI from 1988 to 1990 and executive vice president from 1985-1988.

Before joining EEI, Mr. Kuhn was president of the American Nuclear Energy Council, which represented virtually all of the companies in the commercial nuclear power industry. He joined the Council in 1975 as vice president, government affairs, and became president in 1983. From 1972 to 1975, Mr. Kuhn headed the energy section of the investment banking firm Alex Brown and Sons. Prior to that, from 1970 to 1972, he was White House Liaison Officer to the Secretary of the Navy.

Mr. Kuhn previously served on the Secretary of Energy's Advisory Board and the Board of the U.S. Chamber of Commerce. He also has served on the boards of the Alliance to Save Energy, the United States Energy Association, and the U.S. Navy Memorial Foundation. He is Chairman Emeritus of the Committee of 100 of the U.S. Chamber of Commerce, the American Society of Association Executives (ASAE), and the National Multiple Sclerosis Society.

Among his honors, Mr. Kuhn was awarded the Bess Goodman Humanitarian Award in 2000. He was chosen as Association Executive of the Year 2000 by Association TRENDS magazine and the Trade Association CEO of the Year in 2015 by CEO Update. In 2017, Mr. Kuhn received the Energy Good Scout Award from the National Capital Area Council of the Boy Scouts of America. He received the 2018 United States Energy Award for "unparalleled contribution and leadership in the energy sector" and the Keystone Policy Center 2019 Leadership Award.

Mr. Kuhn holds a Bachelor of Science degree in economics from Yale University and served as a Naval Officer following his graduation. He also earned a Masters in Business Administration from George Washington University.

Singleton McAllister, Director

Ms. McAllister has served as a member of our Board since August 2018. Ms. McAllister is currently serving as Of Counsel at the law firm Husch Blackwell, LLP. Before joining Husch Blackwell in May 2014, Ms. McAllister served as a Partner in the law firms of Williams Mullen from 2012 to 2014, Blank Rome LLP from 2010 to 2012 and LeClairRyan from 2007 to 2010. Prior to entering private practice, Ms. McAllister served for five years as the General Counsel for the United States Agency for International Development and previously served in senior positions in the U.S. House of Representatives.

Ms. McAllister is the Chair of the Board at Chart Industries, where she has been a member of the Board since 2019, and is also a Director of Alliant Energy Corporation. She also served as a Director of United Rentals from 2004 to May 2018, and previously; chaired the National Women's Business Center. Ms. McAllister is a member of the Council on Foreign Relations and a fellow to the National Academy; of Public Administration. She has also served on the Advisory; Board of the African Development Foundation and has been appointed Secretary; to the Virginia State Board of Elections.

Ms. McAllister holds a Bachelor of Arts Degree from the University; of Maryland and completed Graduate Studies in International Relations and earned her law degree from Howard University.

Robert Schwartz, President, CEO & Director

In 2015, Rob joined pdvWireless, which relaunched as Anterix in 2019 to focus on enabling broadband connectivity for the modern grid. He has served as President & CEO since 2020. Under his leadership, Anterix has become a leader in wireless broadband communications for critical infrastructure, making Anterix’s 
900 MHz private broadband the de facto standard for modern grid communications. Anterix spectrum is now used by five major utilities in 14 states, and its Active Ecosystem program boasts more than 100 leading technology companies developing and offering innovative products and services for use with 900 MHz private LTE utility networks.

Prior to joining Anterix, Rob served as Managing Director of Unison Site Management, EVP of IDT Telecom, and a senior manager at The Associated Group. Rob got his start in telecommunications as Director of Corporate Development at Nextel, where he worked with Anterix Executive Chairman Morgan O’Brien. Rob serves as a board member of the Keystone Energy Board and the Jewish Community Foundation of Greater MetroWest NJ. He is a native of Philadelphia and a graduate of The Wharton School at the University of Pennsylvania and The George Washington University School of Government & Business Administration.

Jeffrey Altman, Director

Mr. Altman joined our Board as an Independent Director in January 2023. He is currently Founding Partner and Chief Portfolio Manager at Owl Creek Asset Management, where he directs all aspects of research and trading on all investments, leads the investment group, and serves on the Investment Manager’s Risk Management Committee. Mr. Altman launched the Owl Creek Flagship Funds in February 2002, followed by the Owl Creek Socially Responsible Investment Fund in May 2006, the Owl Creek Credit Funds in July 2012, the Owl Creek MGM Fund in November 2016, the OC Opportunities Fund II in October 2018, the Owl Creek Special Situations Fund, L.P. in April 2019, and the OC Opportunities Fund III in May 2021.

Prior to founding Owl Creek, Mr. Altman worked for 13 years Franklin Mutual Advisers, LLC and Heine Securities Corporation, the former advisor to the Mutual Series family of funds, during which time he served in various capacities, including junior and senior analyst positions, head trader of the bankruptcy and distressed group, portfolio manager, senior vice president and senior portfolio manager.

Mr. Altman earned a B.S.M. in Management from the A.B. Freeman School of Business at Tulane University.

Leslie Daniels, Director

Mr. Daniels joined our Board in September 2020. Currently, he is an Operating Partner of AE Industrial Partners, LP., a private equity firm specializing in aerospace, power generation and specialty industrial markets. Mr. Daniels was a Founding Partner of CAI Managers & Co., L.P., a private equity firm and served in that capacity from 1989 to 2014. Prior to CAI Managers, he was President of Burdge, Daniels & Co., Inc., a company engaged in venture capital and buyout investments and trading of private placement securities. Mr. Daniels also served as Senior Vice-President of Blyth, Eastman, Dillon f, Co.

Mr. Daniels has served on numerous Boards. Currently, he serves on the Moeller Aerospace, Redwire Corporation, and the GAMCO Investors, Inc. Boards.

Mr. Daniels is a Presidential Appointee on The Advisory Committee on Trade Policy and Negotiation and is a former chairman and former member of Florida's State Board of Administration, Investment Advisory Council He also serves as Commissioner and Chairman of the Health Care District of Palm Beach County. Mr. Daniels is a graduate of Fordham University.

Greg Haller, Director

Mr. Haller has served as a member of our Board since November 2018. He has more than 30 years of experience serving as a senior executive in the wireless and telecommunication services industries.

Since April 2022, he has served as the Chief Executive Officer at Alorica, Inc., a leading customer relationship management company. Prior to becoming CEO, Mr. Haller served as Alorica's Chief Operating Officer since July 2018. Prior to joining Alorica, Mr. Haller served in several senior executive positions at Verizon Wireless. From August 2016 to June 2018, he was the Chief Executive for Verizon's prepaid brand, Visible.

Prior to that, from January 2012 until August 2016, he was the President of the west area for all Verizon sales and operations, which encompassed the 18 most western states in the U5. From September 2010 through January 2102, he held the roles of President, Enterprise and Government Markets and Vice President of Consumer Marketing. Through his 29-IJear career al Verizon, he also served in leadership positions in the areas or operations, sales, marketing and advanced solutions as well as consumer product portfolio and pricing.

Gregory Pratt, Director

Mr. Pratt has served as a member of our Board since May 2020. Mr. Pratt's brings more than 40 years of expertise to Anterix. His career spans the range of leadership experiences, from CFO to CEO to Chairman, and from early stage to market leaders at well­known technology innovators like Atari and Commodore.

Mr. Pratt is the non-executive Chairman of the Board of Tredegar Corporation, having previously served as Lead Director since 2016. Mr. Pratt was the Chairman of the Board at Carpenter Technology Corporation until 2021, where he was also CEO, President, and chairman or multiple committees. Additionally, Mr. Pratt is a Fellow of the National Association of Corporate Directors [NACO), where he has served on the local chapter boa rd for over ten years, and where he has completed the NACD program designed to educate experienced directors on leading practices for boards and committees. Previously, he served as Vice Chairman and a Director of OAO Technology Solutions, Inc. [OAOT). He joined OAOT in 1998 when it acquired Enterprise Technology Group, a software engineering firm founded by Mr. Pratl

Mr. Pratt holds a Master of Business Administration in finance from the Wharton School at lhe University of Pennsylvania and a Bachelor of Science in Business Administration from Cheyney University. Mr. Pratt is a Certified Public Accountant.

Mahvash Yazdi, Director

Ms. Yazdi joined the Anterix Board in February 2021. She currently is the President of Feasible Management Consulting, a strategy consulting firm specializing in energy, innovation, technology, and telecommunication. She is the former senior vice president of business integration and chief information officer of Edison International and Southern California Edison. She successfully oversaw business transformation initiatives across multiple companies, and technology implementation of smart meter and smart grid programs. She was also the co-chair of the EEI, CIO advisory council, leading the industry activities in cyber security, telecommunication, and privacy challenges. Prior to that, she held various roles at Hughes Electronics, and was appointed the vice president, CIO, and a member of the aerospace and defense executive committee engaged in business transformation and M&A activities.

Ms. Yazdi is a nationally recognized expert in corporate information technology and has served on the boards of multiple technology companies. She has received numerous awards including the Ellis Island Medal of Honor for her philanthropic work. Ms. Yazdi serves as a member of the board of NorthWestern Energy, where she is the chair of its compensation committee. She is also serving as an advisor to H.I.G Capital, Infosys Corporation and Energy Capital Ventures.

Ms. Yazdi holds a Master of Business Administration from the University of Southern California and a Bachelor of Science in Industrial Management from California State Polytechnic University, Pomona. Mahvash is certified by NACD as a corporate director, and governance fellow.
